BridgePath Terms of Service

1. Introduction

Welcome to BridgePath ("BridgePath," "we," "our," or "us").

These Terms of Service ("Terms") govern your access to and use of the BridgePath platform, including our website, web application, mobile applications, APIs, software, communications, support services, and any related products or services (collectively, the "Services").

These Terms constitute a legally binding agreement between BridgePath and the individual or organization using the Services ("you" or "User").

If you are using the Services on behalf of a school, educational institution, company, or other legal entity, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not access or use the Services.

2. Definitions

For purposes of these Terms:

Account
means a registered user profile used to access the Services.
Administrator
means an individual authorized by a School to manage the institution's BridgePath account.
School
means any educational institution using the Services.
Student
means any learner whose information is processed through the Services.
Parent
includes a parent, guardian, or other legally authorized caregiver.
Teacher
means any educator, instructor, or member of school staff using the Services.
Content
means information, text, files, images, videos, assignments, grades, communications, documents, records, and other materials uploaded or generated through the Services.
Subscription
means a paid or free plan granting access to the Services.

3. Eligibility

To use the Services, you must:

  • have legal capacity under applicable law;
  • provide accurate registration information;
  • comply with these Terms;
  • comply with applicable laws and regulations.

Students may access the Services only through accounts created or authorized by their school or parent, as applicable.

4. The Services

BridgePath provides a cloud-based school management platform designed to support educational institutions with administrative and academic operations.

Depending on the subscription plan, the Services may include:

  • Timetable Management
  • Gradebooks
  • Assessments
  • Report Cards
  • Homework Management
  • Communication Tools
  • Parent Portal
  • Teacher Portal
  • Student Portal
  • Fee Management

  • Document Management
  • Analytics and Reporting
  • Notifications
  • Mobile Applications
  • APIs
  • Additional modules introduced from time to time

We may improve, modify, replace, suspend, or discontinue any feature where reasonably necessary.

5. Account Registration

Users must create an account before accessing certain Services.

You agree to:

  • provide complete and accurate information;
  • maintain updated account information;
  • protect your login credentials;
  • notify us immediately of unauthorized access;
  • remain responsible for activities occurring under your account.

You must not share your login credentials except where expressly authorized.

6. School Administrator Responsibilities

Each School is responsible for:

  • managing user accounts;
  • assigning user permissions;
  • maintaining accurate school records;
  • ensuring compliance with applicable education and privacy laws;
  • obtaining required parental consents where applicable;
  • managing teacher access;
  • managing student access;
  • maintaining confidentiality of administrator credentials.

BridgePath is not responsible for administrative decisions made by schools using the platform.

7. Teacher Responsibilities

Teachers agree to:

  • use the Services only for legitimate educational purposes;
  • maintain the confidentiality of student information;
  • protect account credentials;
  • upload only authorized educational materials;
  • comply with school policies and applicable laws;
  • avoid sharing confidential information with unauthorized persons.

Teachers remain responsible for content they upload to the platform.

8. Parent and Student Accounts

Parents and students may access the Services only through authorized accounts created by the relevant school or by another authorized user.

Parents agree to:

  • provide accurate information;
  • maintain account security;
  • supervise children's use of the Services where appropriate;
  • promptly report unauthorized account activity.

Students must use the Services solely for educational purposes and in accordance with school policies.

9. Acceptable Use

Users agree to use BridgePath responsibly and lawfully.

You may:

  • access educational content;
  • communicate through approved channels;
  • manage academic records;
  • submit assignments;
  • receive grades;
  • access school resources;
  • perform administrative functions consistent with your assigned role.

All use must comply with applicable laws, school policies, and these Terms.

10. Prohibited Conduct

Users must not:

  • violate any law or regulation;
  • impersonate another individual;
  • create fraudulent accounts;
  • interfere with the operation of the Services;
  • attempt unauthorized access;
  • introduce malware, ransomware, spyware, or viruses;
  • upload illegal or harmful material;
  • distribute spam;
  • harass, threaten, or abuse other users;
  • circumvent security controls;
  • scrape or extract platform data without authorization;
  • reverse engineer, decompile, or attempt to discover source code except where permitted by law;
  • exploit vulnerabilities;
  • use automated bots without written authorization;
  • misuse student information;
  • infringe intellectual property rights.

Violation of this section may result in suspension or permanent termination of access.

11. User Content

Users retain ownership of the content they upload to the Services.

By uploading content, you grant BridgePath a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, transmit, and display such content solely for the purpose of providing and improving the Services.

Users represent that they have all necessary rights and permissions to upload the content.

BridgePath does not claim ownership of school data or educational records.

12. Intellectual Property

BridgePath owns all rights, title, and interest in and to:

  • the software;
  • platform architecture;
  • source code;
  • object code;
  • databases created by BridgePath;
  • trademarks;
  • logos;
  • branding;
  • documentation;
  • user interface designs;
  • graphics;
  • workflows;
  • algorithms;
  • AI models developed by BridgePath;
  • proprietary technology.

Nothing in these Terms transfers ownership of our intellectual property to users.

Except as expressly permitted, users may not copy, modify, distribute, license, sell, lease, reverse engineer, or create derivative works from the Services.

13. Data Ownership

Schools retain ownership of all educational records and personal data they upload or generate using the Services.

Students and parents retain any rights granted under applicable privacy laws regarding their personal information.

BridgePath retains ownership of:

  • software;
  • platform technology;
  • system architecture;
  • platform improvements;
  • aggregated and anonymized analytics that cannot reasonably identify an individual or school.

BridgePath will process school data in accordance with applicable agreements and our Privacy Policy.

14. Licence to Use the Services

Subject to these Terms and payment of any applicable fees, BridgePath grants users a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their internal educational purposes.

This licence does not permit resale, sublicensing, commercial exploitation, or unauthorized redistribution of the Services.

Any rights not expressly granted are reserved by BridgePath.

15. Subscription Plans

BridgePath offers various subscription plans designed to meet the needs of different educational institutions.

Features, storage limits, user limits, integrations, support levels, and pricing may vary depending on the selected plan.

Current subscription plans are published on our website or made available through a written quotation or order form.

Unless otherwise agreed in writing, subscriptions are provided on a recurring basis and remain active until cancelled or terminated in accordance with these Terms.

16. Fees and Payment

Schools agree to pay all applicable subscription fees, implementation fees, training fees, support fees, and any other charges associated with their selected plan.

Payments shall be made using the payment methods approved by BridgePath.

Unless otherwise stated:

  • fees are payable in advance;
  • invoices are due within the payment period specified on the invoice;
  • all fees are exclusive of applicable taxes unless expressly stated otherwise.

Failure to pay outstanding invoices may result in suspension or termination of access to the Services.

17. Taxes

Schools are responsible for all applicable taxes, levies, duties, withholding taxes, and government charges associated with their use of the Services, except taxes imposed on BridgePath's income.

18. Free Trials

From time to time, BridgePath may offer free trials or promotional access.

Unless otherwise stated:

  • free trials are provided "as is";
  • features may be limited;
  • BridgePath may end a trial at any time;
  • data created during the trial may be deleted after expiration unless the customer upgrades to a paid subscription.

19. Renewals

Subscriptions automatically renew for successive billing periods unless cancelled before the renewal date.

Customers may disable automatic renewal through their account settings or by providing written notice before the renewal date.

Renewed subscriptions will be billed using the pricing applicable at the time of renewal unless otherwise agreed.

20. Refund Policy

Except where required by applicable law or expressly agreed in writing:

  • subscription fees are non-refundable;
  • partially used subscription periods are not refundable;
  • implementation fees are non-refundable once work has commenced;
  • training fees are non-refundable after delivery.

Where a refund is approved, it shall be processed using the original payment method whenever reasonably practicable.

21. Service Availability

BridgePath will use commercially reasonable efforts to maintain high service availability.

However, uninterrupted availability cannot be guaranteed.

Temporary interruptions may occur due to:

  • scheduled maintenance;
  • emergency maintenance;
  • internet outages;
  • third-party infrastructure failures;
  • cybersecurity incidents;
  • force majeure events.

BridgePath shall not be liable for temporary interruptions that are beyond its reasonable control.

22. Maintenance and Updates

To improve security, functionality, and performance, BridgePath may:

  • install software updates;
  • deploy security patches;
  • introduce new features;
  • modify existing functionality;
  • remove obsolete features;
  • improve user interfaces.

Scheduled maintenance will, where reasonably practicable, be communicated in advance.

Emergency maintenance may be performed without prior notice where necessary to protect the integrity or security of the Services.

23. Third-Party Services and Integrations

The Services may integrate with third-party providers including, but not limited to:

  • payment gateways;
  • cloud hosting providers;
  • email delivery services;
  • SMS providers;
  • identity providers;
  • video conferencing platforms;
  • learning management systems;
  • government educational systems.

Use of third-party services may be subject to separate terms and privacy policies.

BridgePath is not responsible for the availability, security, or performance of third-party services beyond our reasonable control.

24. Artificial Intelligence Features

Where available, BridgePath may provide AI-powered tools designed to assist educational institutions.

These features may include:

  • report generation;
  • academic analytics;
  • content recommendations;
  • administrative assistance;
  • learning insights;
  • workflow automation.

AI-generated outputs are intended to assist users and should not be relied upon as the sole basis for academic, disciplinary, legal, medical, financial, or employment decisions.

Users remain responsible for reviewing and verifying AI-generated content before relying upon it.

25. Confidentiality

Each party agrees to protect the confidential information disclosed by the other.

Confidential Information includes, but is not limited to:

  • student records;
  • examination materials;
  • financial information;
  • passwords;
  • software documentation;
  • technical information;
  • business strategies;
  • pricing information;
  • security procedures;
  • proprietary algorithms.

Confidential Information shall not be disclosed except:

  • with prior written consent;
  • where required by law;
  • to authorized employees or contractors who require access to perform their duties and who are subject to confidentiality obligations.

These obligations continue after termination of the Services.

26. Security Responsibilities

BridgePath will implement reasonable administrative, technical, and organizational safeguards to protect the Services.

Users are responsible for:

  • maintaining secure passwords;
  • protecting login credentials;
  • enabling available security features;
  • restricting unauthorized access to their devices;
  • promptly reporting suspected security incidents.

Schools remain responsible for managing user permissions within their institution.

27. Suspension of Services

BridgePath may suspend access immediately where reasonably necessary to:

  • protect platform security;
  • investigate suspected fraud;
  • respond to legal requirements;
  • prevent misuse of the Services;
  • protect other users;
  • respond to cybersecurity threats;
  • enforce these Terms.

Where appropriate, we will provide notice before suspension.

Suspension does not relieve customers of their payment obligations unless otherwise agreed.

28. Termination

Either party may terminate the Services in accordance with the applicable subscription agreement.

BridgePath may terminate or suspend access immediately if:

  • these Terms are materially breached;
  • payment remains overdue after notice;
  • fraudulent activity is detected;
  • illegal conduct occurs;
  • continued access creates a security risk;
  • required by law.

Upon termination:

  • access to the Services will cease;
  • licences granted under these Terms will terminate;
  • outstanding fees remain payable;
  • data handling will be governed by our Privacy Policy and any applicable Data Processing Agreement.

Where applicable, customers may request export of their data within the period specified in their subscription agreement before permanent deletion.

29. Warranties and Disclaimers

BridgePath will use commercially reasonable efforts to provide a reliable and secure platform. However, except as expressly stated in these Terms or required by applicable law, the Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, BridgePath disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • uninterrupted availability;
  • compatibility with third-party software;
  • accuracy or completeness of user-generated content.

BridgePath does not warrant that:

  • the Services will always be uninterrupted or error-free;
  • defects will be corrected immediately;
  • the Services will meet every customer's unique requirements;
  • data transmitted over the internet will be completely secure.

Nothing in these Terms excludes any warranty that cannot legally be excluded.

30. Customer Responsibilities

Each School and User agrees to:

  • use the Services only for lawful educational and administrative purposes;
  • maintain accurate account information;
  • ensure that uploaded content complies with applicable laws;
  • maintain appropriate backups of critical information where required;
  • obtain all necessary permissions and consents before uploading personal information;
  • maintain adequate internal security procedures;
  • comply with all applicable education, child protection, privacy, and cybersecurity laws.

Customers are solely responsible for decisions made using information generated through the Services.

31. Limitation of Liability

To the maximum extent permitted by law, BridgePath, its directors, officers, employees, affiliates, licensors, and service providers shall not be liable for any:

  • indirect damages;
  • consequential damages;
  • incidental damages;
  • exemplary damages;
  • punitive damages;
  • loss of profits;
  • loss of goodwill;
  • loss of business opportunities;
  • loss of anticipated savings;
  • data loss caused by factors outside our reasonable control;
  • interruption of business operations.

Except for liability that cannot legally be limited, BridgePath's aggregate liability arising out of or relating to the Services shall not exceed the total subscription fees actually paid by the customer to BridgePath during the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based, including contract, negligence, tort, strict liability, or otherwise.

32. Indemnification

The School and each User agree to indemnify, defend, and hold harmless BridgePath, its directors, officers, employees, contractors, affiliates, successors, and licensors from and against any claims, liabilities, losses, damages, costs, expenses, or reasonable legal fees arising out of or relating to:

  • violation of these Terms;
  • misuse of the Services;
  • infringement of third-party intellectual property rights;
  • unlawful processing of personal information by the School or User;
  • content uploaded by the School or User;
  • violation of applicable laws or regulations.

BridgePath reserves the right to assume exclusive control of the defence of any matter subject to indemnification.

33. Force Majeure

BridgePath shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to:

  • natural disasters;
  • floods;
  • fires;
  • epidemics or pandemics;
  • acts of government;
  • war;
  • terrorism;
  • civil unrest;
  • strikes;
  • internet outages;
  • failures of telecommunications providers;
  • power outages;
  • cyberattacks by third parties;
  • failures of cloud infrastructure providers.

Performance shall be suspended for the duration of the force majeure event.

34. Intellectual Property Infringement Claims

If you believe that material available through the Services infringes your intellectual property rights, you may notify BridgePath by providing:

  • identification of the protected work;
  • identification of the allegedly infringing material;
  • your contact information;
  • evidence of ownership or authority;
  • a statement made in good faith regarding the alleged infringement.

We will investigate all legitimate notices and take appropriate action where required.

35. Export Compliance

Users agree to comply with all applicable export control, sanctions, and trade laws relating to the use of the Services.

The Services may not be used in violation of any applicable import, export, or sanctions regulations.

36. Assignment

Users may not assign or transfer their rights or obligations under these Terms without the prior written consent of BridgePath.

BridgePath may assign these Terms as part of a merger, acquisition, corporate restructuring, financing, or sale of assets.

37. Notices

Legal notices under these Terms shall be provided:

  • by email;
  • through the BridgePath platform;
  • by courier;
  • by registered mail;
  • or by any other legally recognised method.

Electronic notices shall be deemed received on the date transmitted unless proven otherwise.

38. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of laws principles.

Where mandatory laws of another jurisdiction apply to specific users, those laws shall prevail to the extent required.

39. Dispute Resolution

The parties agree to make reasonable efforts to resolve disputes amicably through good-faith negotiations.

If a dispute cannot be resolved through negotiation within thirty (30) days, the parties may agree to mediation before commencing legal proceedings.

Where mediation is unsuccessful or inappropriate, disputes shall be submitted to the competent courts of Nigeria unless otherwise agreed in writing.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect its rights.

40. Changes to the Terms

BridgePath may update these Terms from time to time to reflect changes in:

  • applicable law;
  • regulatory requirements;
  • technology;
  • security practices;
  • business operations;
  • product functionality.

Material changes will be communicated through reasonable means, including email, platform notifications, or publication on our website.

Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms, except where additional consent is required by law.

41. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

The invalid provision shall be interpreted, to the extent possible, in a manner that most closely reflects the original intent.

42. Waiver

Failure by BridgePath to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights.

Any waiver shall be effective only if made in writing and signed by an authorised representative of BridgePath.

43. Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Agreement (where applicable), Acceptable Use Policy, Service Level Agreement (if applicable), Order Forms, and any other documents expressly incorporated by reference, constitute the entire agreement between the parties regarding the Services.

They supersede all prior discussions, negotiations, understandings, or agreements relating to the subject matter.

44. Survival

The following provisions shall survive termination of these Terms to the extent necessary to give them effect:

  • Intellectual Property;
  • Confidentiality;
  • Data Ownership;
  • Payment Obligations;
  • Indemnification;
  • Limitation of Liability;
  • Governing Law;
  • Dispute Resolution;
  • Any provisions which by their nature are intended to survive termination.
